Your Blueprint for Success: Our Working Agreement

These Terms of Service (ToS) govern the provision of User-Generated Content (UGC) creation services by People Say (the "Agency") to the Client (the "Brand"). By signing the Statement of Work (SOW) or paying the first invoice, you agree to these terms, ensuring a smooth and successful partnership.

1. Scope of Work (SOW) & Deliverables

Service Definition: The SOW will detail the specific number of video assets, the defined content style, and the target delivery schedule.

Package Constraints: If a defined content package is purchased (e.g., UGC Starter, Essentials, Scale, Factory), specific volume and timeline constraints apply. For example, the 'Essentials' package assets must be utilised and delivered within one (1) month of the initial payment date.

The Building Blocks Strategy: The Client acknowledges that People Say utilises its proprietary 'Building Blocks' strategic framework to structure content production, focusing on the A.C.C. model (Awareness, Consideration, Conversion) for performance-driven results.

2. Intellectual Property (IP) & Usage Rights

Client Ownership: Upon full and final payment for the SOW or monthly retainer period, People Say grants the Client a full, perpetual, worldwide, and royalty-free license to use the final edited video assets for all marketing, advertising, and commercial purposes. The Client owns the content outright for all channels, including paid ads, organic social, websites, and out-of-home media.

Agency Usage: People Say retains the right to use the final delivered assets, or derivatives thereof, in its own portfolio, marketing materials, and case studies to demonstrate our expertise. If the Client requires strict confidentiality, this must be explicitly requested and agreed upon in writing prior to project commencement.

3. Payment Terms

Standard Packages: All single-purchase packages require 100% upfront payment to commence work, covering creator sourcing and all creative direction.

Retainer Agreements: Contracted retainer agreements (e.g., three, six, or twelve months) will be billed 100% upfront on a monthly basis. Work for the subsequent month will only commence upon receipt of the monthly retainer fee.

Late Payment: For any bespoke contracts or deals agreed upon outside the standard structure, People Say reserves the right to charge late payment fees, withhold delivery of assets, and delay full IP transfer until all outstanding invoices are paid in full.

4. Limitations of Liability

People Say is not liable for the performance or results of the content once it is utilised by the client. While our content is strategically optimised for higher engagement across various platforms (including paid ad campaigns, organic social channels, websites, and other media), actual results are dependent on factors outside of the Agency's control for example ad spend, audience targeting, platform algorithms, or placement strategy.
